VIRGINIA ALLOWS YOU TO FORM YOUR BUSINESS ENTITY ONLINE

The Commonwealth of Virginia provides the convenience and speed of forming business entities online. The Virginia State Corporation Commission (SCC) offers business owners two streamlined, online methods for forming Virginia corporations and limited liability companies (LLCs). The  SCC eFile features greatly expedite the formation process for either type of entity, and make Virginia one of the few states to offer online, real-time business entity formation.

You can choose between two online submission methods for business formation, depending on the complexity of the business entity’s structure. The Express option provides real-time, that is, immediate, formation and confirmation for simple, typically small businesses. Complex formation documents are subject to more intensive, manual review, and thus may be submitted via SCC eFile as PDF files, confirmation of acceptance of which will take only one week, though for an additional fee they can be confirmed (or rejected, if nonconforming in some fashion) by the next business day.

Your attorney can advise you how these opportunities assist in wisely establishing a new and properly functioning and protective business entity. For example, articles of incorporation, for corporations, and articles of organization, for LLCs, which are the two items that the new SCC eFile feature expedites, are only some of the many decisions and actions required to fully and safely establish new entities. Nonetheless, these SCC website changes do allow your attorney to form certain simple corporations and LLCs for clients almost instantly instead of requiring several days of processing time by the state.

You should also note that new online procedures have been added to the SCC website regarding changing existing registered agents and/or their registered offices, and making other registered agent changes, online. However, these procedures are more complicated than forming a new entity.
